Providing all necessary documentation completely and accurately will help ensure a smooth and timely compliance review process.
Required Documentation Categories
Below is a breakdown of the minimum required documentation. Please ensure all submitted documents are clear, up-to-date, and, if necessary, certified or notarized.
1. Company Information
These documents confirm your legal entity's foundational details:
- Full Legal Name of the Entity: The complete registered name of your company.
- Registered Address: The official registered address of your company.
- Certificate of Incorporation or Equivalent Formation Document: This document confirms your company's legal existence and registration.
2. Ownership and Structure
These details help us understand your company's internal structure and key individuals:
- Certified Corporate Structure Chart or Share Register: This should clearly show the ownership hierarchy, including any intermediary holding companies, up to the ultimate beneficial owners (UBOs).
- Identity Verification: For all directors, shareholders (above a certain threshold), and Ultimate Beneficial Owners (UBOs), you will need to provide identity verification documents, such as a passport or national ID.
- List of Authorised Signatories: A formal list identifying individuals authorized to sign on behalf of your entity.
3. Business Overview
This section helps us understand your operational model and how you intend to use Orbital's services:
- Description of Your Business Model and Service Offering: A clear explanation of what your business does and the services you provide.
- Website URL: Your official company website.
- Explanation of Fund Flows: Detail how both incoming and outgoing transactions are managed within your business.
- Recent Settlement Bank Account Details: A recent bank statement for your primary settlement bank account.
- Monthly Volume Projections and Expected Use of Orbital Services: An estimate of your anticipated transaction volumes and how you plan to integrate Orbital into your operations.
- Rationale for Choosing Orbital as Your Service Provider: Explain why you've chosen Orbital for your payment and treasury needs.
- Evidence of Source of Funds and/or Source of Wealth: Documentation to verify the origin of your company's funds.
4. Compliance Documentation
These documents demonstrate your adherence to regulatory standards:
- Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) Policy: Your company's internal policies and procedures for AML/CTF compliance.
- AML Due Diligence Questionnaire: (Only required for regulated entities) A completed questionnaire detailing your AML due diligence processes.
- Sample Know Your Customer (KYC) Files: A minimum of three sample KYC files for your own customers, demonstrating your due diligence practices.
Additional Documentation for Third-Party Participants
If your fund flow setup involves third-party participants such as customers, suppliers, or intermediaries Orbital may request additional documentation. This is to meet AML/CTF regulatory requirements and includes details about these third parties and the nature of your business relationship with them.
